Terms of Service

sendaflare (“sendaflare,” “we,” “our,” or “us”) is operated by Dail LLC, based in the United States.

These Terms of Service (“Terms”) govern your access to and use of the sendaflare mobile application, website, and related services (collectively, the “Service”).

By accessing or using sendaflare, you agree to these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Overview of the Service

sendaflare is a mobile application designed to help users coordinate real-time social activities through lightweight availability signals (“flares”).

The Service may allow users to create an account, add or remove friends or connections, send and receive flares, respond to flares, receive notifications, and use related social coordination features.

sendaflare is intended to support casual social coordination. sendaflare is not intended for emergency services, safety-critical communications, urgent coordination, personal safety monitoring, or time-sensitive critical communications.

Features described in these Terms may change, expand, be modified, be limited, or be discontinued over time as the Service evolves.

2. Eligibility

sendaflare is intended only for users who are at least 18 years old.

By accessing or using the Service, you represent and warrant that:

  • You are at least 18 years old;

  • You have the legal capacity to agree to these Terms;

  • You will use the Service only in compliance with these Terms and applicable laws; and

  • Your use of the Service does not violate any law, regulation, agreement, or obligation applicable to you.

If we become aware that an individual under 18 has created an account or is using the Service, we may suspend or delete the account and associated data.

3. Accounts

To use certain features of the Service, you may need to create an account.

You agree to provide accurate, current, and complete information when creating or using your account and to keep your account information reasonably up to date.

You are responsible for maintaining the confidentiality and security of your device, login credentials, and account access. You are responsible for all activity that occurs under your account, whether or not you authorized the activity.

You agree to notify us promptly if you believe your account has been accessed without authorization or if you become aware of any security issue relating to your account.

We are not responsible for losses or harm arising from your failure to maintain the security of your account, device, or login credentials.

4. User Connections and Social Flares

sendaflare may allow users to add, remove, block, or interact with other users.

Friend or connection features are provided to help users coordinate social availability and activities. These features do not guarantee friendship, compatibility, availability, responsiveness, identity, safety, or any particular social outcome.

Blocking or removing another user may limit future interactions, but it may not prevent all forms of contact, historical visibility, previously delivered notifications, or information already seen by other users.

You are solely responsible for choosing who you interact with, who you send flares to, who you respond to, and whether you meet or communicate with other users outside the Service.

5. Flares, Responses, and Noficiations

The Service may allow users to send and receive availability signals known as “flares.”

A flare may include information such as an activity category, timestamp, sender, recipient, response status, or related interaction information.

Recipients may accept, ignore, decline, or allow flares to expire, depending on the functionality available in the Service.

If enabled, flare may send push notifications relating to incoming flares, flare responses, app activity, suggestions, reminders, service updates, or other Service-related messages.

Notifications are only sent where permission has been granted through device or operating system settings. You may revoke notification permissions through your device or operating system settings.

Notification delivery is not guaranteed. Notifications may be delayed, blocked, suppressed, or unavailable due to device settings, operating system behavior, battery optimization, network conditions, third-party provider limitations, or other technical issues outside our control.

You should not rely on sendaflare or its notifications for emergency communications, urgent coordination, personal safety monitoring, or time-sensitive critical communications.

6. Suggestions, Timing Indicators, and Automated Features

sendaflare may provide optional suggestions, reminders, recommendations, or timing-related insights based on automated systems, generalized in-app interaction patterns, app engagement signals, or similar information.

These features are approximate in nature and may be inaccurate, incomplete, delayed, or outdated.

Suggestions and timing indicators are provided for informational and convenience purposes only. They should not be relied upon as factual or real-time representations of another user’s availability, activity, location, responsiveness, intentions, or interest in meeting.

sendaflare does not guarantee that users are available, responsive, nearby, interested in meeting, actively using the Service, or likely to respond to flares.

Unless explicitly disclosed in a future version of the Service, these features are not based on precise GPS tracking, background location monitoring, or monitoring activities outside the app.

7. User Content

The Service may allow you to submit, upload, send, display, or otherwise share content, information, usernames, profile information, activity selections, responses, or other materials through the Service (“User Content”).

You retain ownership of any rights you have in your User Content.

By submitting User Content through the Service, you grant sendaflare a limited, non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, display, transmit, and otherwise use your User Content solely as reasonably necessary to operate, maintain, improve, secure, and provide the Service.

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content;

  • Your User Content does not violate these Terms or applicable law;

  • Your User Content does not infringe, misappropriate, or violate the rights of any person or entity; and

  • Your User Content does not contain unlawful, harmful, abusive, harassing, defamatory, threatening, invasive, misleading, or otherwise inappropriate material.

You are solely responsible for your User Content and the consequences of sharing it through the Service.

8. Information You Should Not Share

You should avoid sharing sensitive, confidential, unlawful, harmful, or inappropriate information through the Service.

You should not use sendaflare to share:

  • Financial account information;

  • Government identification numbers;

  • Medical or health information;

  • Passwords;

  • Highly confidential personal information;

  • Information that violates another person’s privacy;

  • Illegal content;

  • Threats, harassment, or abusive content; or

  • Content that could create safety, legal, or security risks.

sendaflare is designed for lightweight social coordination and is not intended for sharing sensitive, confidential, financial, medical, governmental, or highly personal information.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;

  • Harass, threaten, abuse, intimidate, stalk, impersonate, or harm another person;

  • Share unlawful, harmful, abusive, misleading, defamatory, sexually explicit, violent, discriminatory, hateful, or otherwise inappropriate content;

  • Misrepresent your identity, age, affiliation, availability, intentions, or relationship with another person;

  • Use the Service to coordinate illegal, harmful, dangerous, or exploitative activity;

  • Attempt to access another user’s account without permission;

  • Interfere with, disrupt, damage, overload, or compromise the Service or related systems;

  • Reverse engineer, scrape, crawl, index, copy, or extract data from the Service except as permitted by law;

  • Use bots, scripts, automated systems, or unauthorized tools to access or manipulate the Service;

  • Circumvent safety, moderation, security, rate-limiting, or access-control features;

  • Upload malware, malicious code, or harmful files;

  • Collect, store, or share personal information about other users without permission;

  • Use the Service for spam, commercial solicitation, phishing, fraud, or deceptive activity;

  • Use the Service while driving, operating machinery, or engaging in activities requiring full attention; or

  • Encourage or assist anyone else in violating these Terms.

10. Safety and Real-World Interactions

sendaflare may help users coordinate social activities, but sendaflare does not control and is not responsible for user behavior, including user availability, user identity, user intentions, real-world meetings, communications, or interactions between users.

You are solely responsible for your interactions, communications, decisions, and activities arranged through or in connection with the Service, including any in-person meetings, hangouts, or other activities.

You should exercise appropriate judgment and personal safety precautions when interacting with others, communicating with others, or meeting others in person.

sendaflare does not conduct background checks, identity verification, criminal screening, or safety screening of users unless explicitly stated otherwise.

sendaflare does not guarantee:

  • The identity of any user;

  • The intentions or behavior of any user;

  • The safety of any interaction or meeting;

  • That users are available or responsive;

  • That users are nearby;

  • That users are interested in meeting;

  • That users will respond to flares;

  • That notifications will be delivered on time;

  • That suggestions or timing indicators are accurate; or

  • That any social interaction, meetup, friendship, compatibility, or in-person outcome will occur.

You agree that you are solely responsible for taking appropriate safety precautions when using the Service.

11. Moderation and Enforcement

We reserve the right, but are not obligated, to review, monitor, moderate, remove, restrict, investigate, suspend, or terminate accounts, content, usernames, flares, interactions, or access to the Service at our discretion.

We may take action if we believe that a user, account, content, or activity:

  • Violates these Terms;

  • Violates applicable law;

  • Creates safety, legal, security, reputational, or operational risks;

  • Involves harassment, abuse, impersonation, spam, fraud, or harmful conduct;

  • Infringes the rights of others;

  • Misuses the Service; or

  • Is otherwise inappropriate for the Service.

We may investigate reports of abuse, harassment, impersonation, illegal activity, or violations of these Terms and may remove content or restrict accounts where appropriate.

We are not obligated to explain, review, reverse, or appeal any moderation or enforcement decision, except where required by applicable law.

12. Reporting Concerns

Users may contact us with questions, concerns, reports, or feedback using the contact information below.

If you believe another user is violating these Terms, misusing the Service, impersonating someone, harassing others, or creating safety concerns, you may report the issue through available in-app tools where supported or by contacting us.

We may review reports and take action where we believe appropriate, but we do not guarantee any particular outcome, timing, response, or enforcement action.

13. Privacy

Your use of the Service is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, disclose, process, and protect information when you use the Service.

By using sendaflare, you acknowledge that you have reviewed our Privacy Policy.

14. Third-Party Services and Platforms

The Service may rely on or interact with third-party services, platforms, infrastructure providers, app stores, notification providers, authentication providers, hosting providers, product-support providers, usage measurement providers, analytics providers if used, and other third-party tools.

Your use of third-party platforms or services may be subject to separate terms and privacy policies provided by those third parties.

sendaflare is not responsible for the availability, accuracy, security, privacy practices, content, policies, or conduct of third-party services, platforms, or providers not operated by us.

The sendaflare mobile application may be distributed through third-party platforms such as the Apple App Store or Google Play Store. Your use of those platforms may also be subject to their respective terms and policies.

15. App Store Terms

If you download sendaflare through the Apple App Store, Google Play Store, or another app distribution platform, you acknowledge that:

  • These Terms are between you and sendaflare, not the app store provider;

  • The app store provider is not responsible for the Service or its content;

  • The app store provider has no obligation to provide maintenance or support for the Service;

  • The app store provider may have separate terms that also apply to your use of the Service; and

  • You must comply with all applicable third-party terms when using the Service.

If any app store terms conflict with these Terms, the app store terms may apply solely to the extent required by the applicable app store provider.

If you download sendaflare through the Apple App Store, you acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the iOS application, and that Apple has the right to enforce these Terms against you as a third-party beneficiary.

To the extent required by applicable app store terms, sendaflare, not Apple or Google, is responsible for the Service, including maintenance, support, warranty claims, product claims, intellectual property claims, and any claims that the Service fails to comply with applicable legal or regulatory requirements, except as otherwise provided by applicable law or app store terms.

16. Ownership and Intellectual Property

sendaflare and its software, design, graphics, interfaces, features, functionality, trademarks, logos, service marks, text, images, videos, code, databases, and other materials are owned by sendaflare or its licensors and are protected by intellectual property and other laws.

Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you by implication or otherwise.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, attempt to derive source code from, or create derivative works based on the Service except as permitted by applicable law.

You may not use sendaflare’s name, trademarks, logos, branding, or other proprietary materials without our prior written permission.

17. Limited License to Use the Service

Subject to your compliance with these Terms, sendaflare grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes.

This license does not allow you to:

  • Use the Service for commercial purposes, advertising, promotion, solicitation, recruiting, lead generation, or sales activity without our prior written permission;

  • Copy, modify, or create derivative works from the Service;

  • Access the Service in order to build a competing product or service;

  • Use the Service in a way that violates these Terms or applicable law; or

  • Interfere with the operation, security, or integrity of the Service.

We may revoke this license at any time if you violate these Terms or misuse the Service.

18. Feedback

If you submit ideas, suggestions, comments, bug reports, feature requests, or other feedback about the Service (“Feedback”), you grant sendaflare a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit the Feedback for any purpose without compensation or obligation to you.

You agree that Feedback is provided voluntarily and does not create any confidentiality, ownership, payment, or attribution obligation.

19. Service Availability and Changes

sendaflare is provided on an “as available” and “as is” basis.

We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, complete, available, or compatible with your device or operating system.

We may modify, update, suspend, restrict, discontinue, or remove all or part of the Service at any time without liability to you.

Features and functionality may change, be interrupted, limited, or become unavailable at any time.

We are not responsible for any loss, harm, inconvenience, or damage resulting from changes to or unavailability of the Service.

20. Account Suspension and Termination

You may stop using the Service at any time.

You may request deletion of your account through available in-app functionality where supported or by contacting us using the contact information below.

We may suspend, restrict, or terminate your account or access to the Service at any time if we believe that:

  • You violated these Terms;

  • You created legal, safety, security, operational, or reputational risks;

  • You misused the Service;

  • You engaged in harassment, abuse, impersonation, spam, fraud, or harmful conduct;

  • Your account was inactive for an extended period;

  • We are required to do so by law; or

  • Continuing to provide the Service to you is no longer commercially, legally, operationally, or technically feasible.

Upon termination, your right to access and use the Service will end immediately.

Certain provisions of these Terms will survive termination, including provisions relating to ownership, user responsibility, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any other provisions that by their nature should survive.

21. Account Deletion and Data

You may request deletion of your account through available in-app functionality where supported or by contacting us using the contact information below.

Account deletion may permanently remove or de-identify information associated with your account, including your profile, preferences, social connections, flares, sendaflare recipient records, notification records, push notification tokens, and other user-linked active app data.

Certain limited information may be retained where reasonably necessary for legal, security, fraud-prevention, abuse-prevention, dispute-resolution, enforcement, operational, backup/restore safety, or compliance purposes.

Information previously delivered to or seen by other users may not be removable from their devices, screenshots, notifications, or records outside our active systems.

22. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by applicable law, sendaflare disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.

sendaflare does not warrant or guarantee that:

  • The Service will meet your expectations;

  • The Service will be uninterrupted, timely, secure, or error-free;

  • Notifications will be delivered or delivered on time;

  • Suggestions, reminders, recommendations, or timing indicators will be accurate;

  • Users will be available, responsive, nearby, safe, truthful, or interested in meeting;

  • Any interaction, meetup, friendship, compatibility, or social outcome will occur;

  • The Service will be free from viruses, malware, vulnerabilities, or harmful components; or

  • Any defects or errors will be corrected.

You use the Service at your own risk.

23. Limitation of Liability

To the fullest extent permitted by applicable law, sendaflare and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost data, lost goodwill, service interruption, device failure, personal injury, emotional distress, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service.

To the fullest extent permitted by applicable law, sendaflare will not be liable for any damages arising out of or relating to:

  • User conduct;

  • User content;

  • Notifications will be delivered or delivered on time;

  • In-person meetings or real-world interactions;

  • Notifications that are delayed, blocked, suppressed, unavailable, or not delivered;

  • Suggestions, reminders, recommendations, or timing indicators;

  • Unauthorized access to your account;

  • Third-party services or platforms;

  • Service interruptions or technical issues;

  • Your failure to maintain the security of your device or account; or

  • Your violation of these Terms or applicable law.

To the fullest extent permitted by applicable law, sendaflare’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of:

  • The amount you paid to sendaflare for use of the Service during the three months before the event giving rise to the claim; or

  • One hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

24. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless sendaflare and its owners, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to:

  • Your access to or use of the Service;

  • Your User Content;

  • Your violation of these Terms;

  • Your violation of applicable law;

  • Your violation of another person’s rights;

  • Your interactions or meetings with other users;

  • Your misuse of the Service; or

  • Your fraud, misrepresentation, harassment, abuse, or harmful conduct.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of the matter.

25. Dispute Resolution

Before filing a claim against sendaflare, you agree to first contact us at hello@sendaflareapp.com and attempt to resolve the dispute informally.

Your notice must include your name, contact information, a description of the dispute, and the relief you are seeking.

We will attempt to resolve the dispute informally within 30 days after receiving your notice.

If we cannot resolve the dispute informally, either party may bring a claim in a court of competent jurisdiction, subject to the governing law and venue provisions below.

Before filing a claim against sendaflare, you agree to first contact us at hello@sendaflareapp.com and attempt to resolve the dispute informally.

Your notice must include your name, contact information, a description of the dispute, and the relief you are seeking.

We will attempt to resolve the dispute informally within 30 days after receiving your notice.

If we cannot resolve the dispute informally, either party may bring a claim in a court of competent jurisdiction, subject to the governing law and venue provisions below.

26. Governing Law

These Terms and your use of the Service are governed by the laws of the State of California, without regard to conflict of law principles.

If a dispute cannot be resolved informally, you and sendaflare agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in California, unless applicable law requires otherwise.

Nothing in this section limits either party’s ability to bring a qualifying claim in small claims court.

27. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify users through the app, website, email, or other appropriate means before the changes become effective.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service.

28. Electronic Communications

By using the Service, you agree that we may communicate with you electronically, including through the app, push notifications, email, or other contact information associated with your account.

You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.

29. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

30. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of sendaflare.

31. Assignment

You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar business transaction.

32. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented to you in connection with the Service, constitute the entire agreement between you and sendaflare regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings relating to the Service.
